1. Scope of Services & Basis of Contract

  • 1.1 Application of Terms: These Terms apply to all quotations, one-off treatments ("Jobs"), ongoing maintenance contracts ("Periodic Services"), and structural proofing/remedial installations ("Proofing Works") provided by OmniPest Ltd ("OmniPest", "we", "us") to the commercial or domestic customer named on the quote ("Client", "you"), to the exclusion of any terms the Client seeks to impose.

  • 1.2 Contract Formation: Acceptance of our quote by signature, email/digital confirmation, purchase order, or permitting works to commence on site constitutes a legally binding contract.

  • 1.3 Priority of Terms: If a quotation or signed service schedule expressly varies these Terms, that specific written variation will take precedence.

  • 1.4 Service Parameters & Out-of-Hours: Works are strictly limited to the target pests, areas, and visit specifications stated on the quote. Standard working hours are 8:00 am to 6:00 pm, Monday to Friday (excluding Public Holidays). Visits requested outside these hours will be subject to additional out-of-hours rates unless otherwise agreed in the quote. Unless expressly stated as 'inclusive' on the quote or service schedule, all reactive call-out visits and additional treatments will be chargeable at our prevailing standard rates.

2. Site Access, Client Obligations & Proofing

  • 2.1 Access & Aborted Visits: The Client shall provide safe, unobstructed access to the premises at agreed times. If OmniPest is prevented from performing a scheduled visit due to lack of access, unsafe conditions, or Client fault, OmniPest is relieved from the obligation to re-perform that visit without charge and may apply a reasonable aborted visit fee.

  • 2.2 Hazards & Statutory Duty: The Client must notify OmniPest prior to arrival of any known site hazards (e.g., asbestos, fragile ceilings, confined spaces, sensitive equipment, biohazards). The Client acknowledges that the provision of Services does not absolve the Client from its own statutory obligations (including food safety and environmental health legislation) relating to the premises.

  • 2.3 Pesticides & Safety: The Client agrees to comply strictly with all verbal and written safety instructions, including minimum re-entry periods following treatments, and keeping children, pets, livestock, and non-target species away from treated zones and equipment.

  • 2.4 Hygiene, Proofing & Rodenticide Stewardship: Pest control outcomes depend on site sanitation and structural integrity. Unless a specific written guarantee is stated on the quote, OmniPest cannot guarantee permanent eradication. Where an agreement includes inclusive or capped call-outs, if pest activity is determined by OmniPest to result from the Client's failure to follow written proofing, hygiene, or waste management recommendations, OmniPest reserves the right to charge for associated call-outs, follow-ups, and additional materials at standard rates. The Client acknowledges that chemical rodenticide treatments are governed by statutory codes of practice and environmental stewardship regulations. OmniPest reserves the right to withdraw rodenticide baits once an infestation is controlled and replace them with non-toxic monitoring methods.

  • 2.5 Proofing Works:

    • Where proofing, mesh, or capping is installed, OmniPest warrants that work will be completed with reasonable skill and care using suitable materials.

    • OmniPest accepts no liability for accidental damage to concealed pipes, cables, or utilities not visibly identifiable or disclosed by the Client, nor for unsound masonry or rotted substrate.

    • Proofing seals specifically identified points only; it does not warrant that pests will not exploit subsequent or unsealed structural entry points elsewhere on the premises.

3. Equipment & Digital Portal

  • 3.1 Equipment Ownership: All bait stations, traps, insect monitors, and electronic fly killers (EFKs) installed on a rental or contract basis remain the exclusive property of OmniPest Ltd and are held in safe custody at the Client's risk (fair wear and tear excepted). Missing, damaged, vandalised, or interfered-with equipment will be recharged at reasonable replacement cost. Upon termination, the Client must grant reasonable access for OmniPest to recover its equipment.

  • 3.2 Digital Portal & Reports: Where the Client is granted access to OmniPest’s digital reporting portal, access is licensed solely for the duration of the active Agreement. Upon termination or overdue account suspension, portal access will be revoked.

4. Pricing, VAT & Payment Terms

  • 4.1 Validity & VAT: Quotes are valid for 30 days. OmniPest Ltd is not currently registered for VAT; prices shown represent the total payable amount. Should OmniPest become registered for VAT, statutory VAT will apply to future invoices in accordance with applicable law with 28 days' prior written notice.

  • 4.2 Payment Terms:

    • Domestic, One-Off Jobs & Proofing Works: Payable in advance prior to or upon booking to secure the appointment, or within 30 days of invoice date if specified on the quote/invoice.

    • Periodic Contracts: Invoiced in advance (monthly, quarterly, or annually as agreed) and payable within 30 days of invoice date without set-off or deduction. Any invoice queries must be raised in writing within 14 days of the invoice date; undisputed amounts remain payable on the due date.

  • 4.3 Late Payment & Suspension: Overdue commercial accounts will incur statutory interest (8% above the Bank of England base rate) and fixed recovery compensation under the Late Payment of Commercial Debts (Interest) Act 1998. Overdue domestic balances accrue interest at 4% per annum above the base rate. OmniPest reserves the right to suspend all scheduled visits, call-outs, and digital portal access while any undisputed invoice remains overdue.

5. Contract Term, Variations & Termination

  • 5.1 One-Off Jobs & Proofing: Conclude automatically upon completion of the agreed works and full payment of fees.

  • 5.2 Periodic Maintenance Contracts:

    • Where a Periodic Service contract is agreed, it runs for an initial minimum term of 12 months from the commencement date (unless otherwise stated on the quote).

    • Following the expiry of the initial 12-month term, the contract will continue automatically on a rolling basis (monthly or quarterly in line with your billing cycle) until terminated by either party giving not less than 90 days' prior written notice.

  • 5.3 Early Termination by Client: If a commercial Client terminates a Periodic Contract prior to the end of the initial 12-month term (other than for an un-remedied material breach by OmniPest), the Client shall pay liquidated damages equal to 80% of the remaining fees due for the initial 12 months, plus 100% of any irrecoverable equipment or specialist access hire costs incurred. Where the Client is a domestic consumer, early termination charges will be capped at our reasonable direct losses and unavoidable costs incurred.

  • 5.4 Immediate Termination by OmniPest: Either party may terminate immediately on written notice if the other commits a material breach and fails to remedy it within 14 days of written notice. OmniPest may terminate immediately if the Client fails to pay any sum within 30 days of its due date, creates an unmanaged safety hazard, or enters administration, liquidation, bankruptcy, or insolvency.

  • 5.5 Price Reviews: OmniPest may adjust periodic contract fees once per calendar year after the initial 12-month term by giving at least 28 days' written notice. The Client may terminate the contract without penalty by giving written notice within 14 days of receiving such notice.

6. Consumer Statutory Cancellation Rights (Domestic Customers Only)

  • 6.1 Statutory Cooling-Off Period: Where a contract with a domestic consumer is concluded at a distance (phone/email/online) or off-premises (at your home), the consumer has a statutory 14-day cooling-off period to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 using the cancellation form below or by emailing info@omnipest.co.uk.

  • 6.2 Express Request for Immediate Service: If a consumer expressly requests work to commence within this 14-day period, the consumer must pay a proportionate amount for the services and materials supplied up to the point of cancellation, and the right to cancel ceases once a one-off service has been fully performed within that period.

7. Limitations of Liability

  • 7.1 Non-Excludable Liabilities: Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory rights of a domestic consumer that cannot lawfully be excluded under the Consumer Rights Act 2015.

  • 7.2 Exclusions: Subject to Clause 7.1, OmniPest shall not under any circumstances be liable for:

    • Any indirect, consequential, or economic loss, loss of profit, loss of business, loss of goodwill, or business interruption;

    • Any physical loss, contamination, or damage caused directly or indirectly by pests (including chewed cables, pipework, structural timbers, or spoiled stock);

    • Any third-party claims, regulatory fines, penalties, or enforcement actions (including Environmental Health or statutory authority fines) incurred by the Client.

  • 7.3 Financial Liability Cap: Subject to Clauses 7.1 and 7.2, OmniPest’s total aggregate liability arising out of or in connection with this Agreement (in contract, tort, negligence, or breach of statutory duty) shall be limited to £10,000 or 100% of the total fees paid by the Client under the contract in the preceding 12 months (whichever is lower).

  • 7.4 Claims Window: Any complaint or claim must be notified to OmniPest in writing within 28 days of the relevant visit. For commercial clients, OmniPest accepts no liability for claims submitted outside this 28-day period to the maximum extent permitted by law.

8. Insurance & Data Protection

  • 8.1 Insurance: OmniPest maintains comprehensive public and products liability insurance; current policy details and certificates are available upon request.

  • 8.2 Data Protection & Confidentiality: OmniPest processes personal data in accordance with the UK GDPR and the Data Protection Act 2018 solely to perform the contract, issue reports, and manage accounts. Our privacy notice is available at omnipest.co.uk/privacy-policy or on request. Each party agrees to keep the other’s commercial and operational information confidential.

9. Force Majeure, Notices & General

  • 9.1 Force Majeure: Neither party shall be liable for delays or failure to perform obligations (other than payment) resulting from circumstances beyond its reasonable control.

  • 9.2 Notices: Notices under these Terms must be in writing and sent by email or post to the addresses set out on the quote.

  • 9.3 Severability & Third Parties: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No third party has rights under the Contracts (Rights of Third Parties) Act 1999.

  • 9.4 Governing Law: This Agreement constitutes the entire agreement between the parties and is governed by the laws of England and Wales, subject to the exclusive jurisdiction of the English courts.
